Abstract: 
Although traditionally the roads used for the transfer of the knowledge generated in the universities have been the publication of the investigation results in scientific magazines and the contracts with the companies, in the last times he/she is expanding the use of other two mechanisms: the concession of licenses and the spin-offs creation. The present work, by means of a revision of the literature, is about identifying the decisive factors of the use of the spin-offs like transfer mechanism. The identified factors are the following ones: the investigator's interest, the existent system of incentives in the university, the characteristics of the exploited technology, the area academic origin of the invention, the characteristics of the industrial sector in which will exploit the technology, the bigger possible profitability to obtain with this transfer mechanism and the characteristics of the units of transfer.
